Agreement Overview
This is an agreement between Zinary Iden/ca Limited (“Zinary”), a limited liability company incorporated under the laws of the Federal Republic of Nigeria (the “Company”, “We”, “Our” and “Us”), and the Platforms, Clients, Suppliers, Employees and Users onboarded (“You”, “Your” and “Yourself”) on the Zero Incident Network Iden/ty Data-records system (“ZinID”). The Company is the owner and operator of the ZinID, including all the services and features provided through the ZinID to be offered to the Users and Clients (the “Services”).

If you do not agree with any part of these terms, you must not proceed with your application. Submission of an application constitutes your acceptance of these terms in their entirety.
By initiating, downloading, installing, accessing or using Our ZinID, You agree to comply with and be bound by these Terms and Conditions (the “Terms”). You represent and warrant that You are authorized to accept and be bound by these Terms.
You will be asked to accept these Terms as part of Your [account registra/on or installa/on or applica/on integra/on]. These Terms may be updated from /me to /me and if Your rights change, You will be no/fied of such change accordingly. If You do not agree to or cannot comply with these Terms and/or any amendment thereto, You must desist from using ZinID failing which You will be deemed to have accepted these Terms and any amendment thereto.
- “Account": means a User’s registered profile on the Platform, including login credentials and personal information;
- "Applicable Law": means all constitutions, treaties, charters, acts, statutes, laws, decrees, ordinances, rules, codes, regulations, orders, guidelines or published gazettes, practices or any interpretation thereof which are enacted, issued or promulgated by any governmental entity in Nigeria, including any final decree, judgement or order of any court of competent jurisdiction and any standards and/or objective criteria which are contained in any governmental authorization and are relevant for the transaction stipulated herein;
- “Employee": means any person involved in managing, operating, or supporting ZinID.
- “CiiS”:means Central Incident Integration System;
- "Confidential Information": has the meaning assigned to the term in Clause 7
- “Clients”: means any en/ty responsible for the onboarding and sourcing of Users on any online service, application, or digital environment where Users create Accounts, interact, or perform transac/ons, such as websites, mobile apps, social media sites, or e- commerce systems, and similar digital interfaces, that are directly subscribed to ZinID (the “Platform(s)”);
- “Privacy Policy”: means Zinary’s Privacy Policy
- “SAC”: means Security Alert Capabilities;
- “Services”: means the services as set out in Clause 3.
- “Supplier”: means any en/ty that provides so`ware, hardware, or services designed to integrate with or support the ZinID.
- “User(s)”: means any individual or organization onboarded or sourced by any Client that interacts with or integrates their Platform typically by creating an Account, logging in, or engaging with the features provided on the Platform;
- “Validity Period”: means the period of the User’s subscription, which is twelve (12) consecutive calendar months from the date the ZinID is activated on the Platform and renewable annually;
- “ZiN”: means Zero Incident Network;
- “ZiNCode”: means a two-step verification (2FA) or dual-factor authentication which provides Users with a one-time-verification code; and
- “ZinID”: means Zero Incident Network Identity Data-records on which We will be providing You the Services.
- 3.1ZinID is an advanced Ar/ficial Intelligence (Al) based system designed to enhance digital identity verifica/on and risk management for its Users. It verifies the iden//es of Users and Clients by analysing digital footprints and behavioural patterns.
- 3.2ZinID provides real-time monitoring of User activities across multiple platforms, capturing and reporting their activities for comprehensive oversight. Through its integration with the CiiS of the ZiN, ZinID facilitates seamless sharing and retrieval of incident-related information and user activity, allowing platforms to effectively manage incidents within the digital ecosystem.
- 3.3ZinID features SAC that detect potential security threats or anomalies in User behaviour and generates the ZinCode for secure verification during logins and transactions. By using ZinID, Users consent to the monitoring and sharing of Users' activities as described.
- 3.4ZinID assigns fraud scores to Users by analysing their IP addresses during each sign-up attempt on a Platform through ZinID. The fraud score ranges from 0% to 100%. If a User with a high fraud score attempts to onboard to a new PlaJorm, ZinID will automatically flag the registration and notify the Client of the high-risk User.
- 3.5ZinID provides Users with a digital ID, enabling them to easily retrieve and reuse their information across multiple Platforms using a unique eight (8)-digit ID number and biometric identifier. With the User’s consent, Platforms and other Users can verify their identity using this digital ID.
- 3.6ZinID allows Users to digitally create, share, and re-use their signatures securely. Once a User creates and saves an electronic signature on ZinID, it can be used to sign documents electronically. Users can store and access their signatures for seamless and secure digital signing across different Platforms.
- 4.1Compliance:Users must fully comply with any Applicable Law and industry standards while using ZinID. This includes, but is not limited to, data protection laws, financial regulations, anti-money laundering (AML) and counter-terrorism financing (CTF) laws, and any other regulatory requirements relevant to the User's operations. Clients are responsible for implementing adequate internal controls and procedures to ensure that the Users of ZinID adhere to these obligations. Zinary disclaims any liability for non- compliance by Users or Clients, and non-compliance may result in immediate suspension or termination of access to ZinID.
- 4.2Accurate Information:Users are required to provide and maintain accurate, current, and complete information when registering for and using ZinID. This obligation extends to promptly updating any changes to such information. Failure to do so may mean that we cannot provide the Services or reach you for important notifications. Clients integrating ZinID into their Platforms are responsible for verifying that all data submitted, processed, or stored within ZinID is accurate, valid, and compliant with all applicable legal, regulatory, and industry-specific requirements. The Company reserves the right to suspend or terminate access to ZinID for any User or Client found to have provided false, misleading, or incomplete information. Further, any liability arising from the submission of incorrect or non-compliant data shall be borne solely by the respective User or Client.
- 4.3Security: Users are responsible for maintaining the confidentiality, integrity, and security of the ZinCode, biometric data, authentication codes, and any other security credentials or measures provided by or used within ZinID. Users must take all reasonable steps to prevent unauthorized access to their Accounts, including but not limited to regularly upda/ng passwords, safeguarding devices, and ensuring that security measures are not disclosed or shared with unauthorized individuals. Any unauthorized access, loss, or misuse of such security credentials due to the User’s negligence may result in the suspension of services and could expose the User to liability for any losses or damages incurred. ZinID shall not be liable for any unauthorized access or security breaches arising from the User’s failure to properly secure their credentials, maintain the confidentiality of the ZinCode and other security measures provided by ZinID.
- 4.4User Conduct: Users must use ZinID in a responsible manner and shall not engage in any ac/vity that is unlawful, fraudulent, malicious, or otherwise harmful to the integrity of the ZinID, other Users, or third parties. Prohibited conduct includes, but is not limited to, attempting to gain unauthorized access to ZinID, engaging in activities that disrupt the Client and their Platforms’ operations, manipulating or altering data in unauthorized ways, or using ZinID to facilitate any form of cybercrime, fraud, or data breaches. We reserve the right to take any action deemed necessary, including immediate suspension or termination of access, legal action, and reporting to relevant authorities, against any User found to be engaging in such prohibited activities.
- 5.1Compliance with Laws:Clients must ensure that their activities within the network are in full compliance with applicable laws, regulations, and industry standards, including but not limited to data protection, financial regulations, and cybersecurity laws. Furthermore, Clients must comply with requisite data protection provisions regarding lawful purpose, and ensure proper disclosure of the purpose of data processing, as outlined in the Privacy Policy.
- 5.2Disclosure:Clients confirm that proper disclosures have been made to the Users on the sharing of their data with a third-party processor (Zinary) and have, in providing said disclosure, stated the purpose for which the User’s data is being processed.
- 5.3Data Accuracy: Clients are responsible for providing accurate and up-to-date information when contributing data to ZinID. Clients must take reasonable steps to mitigate network wide risks caused by misinformation or failures to update relevant data on ZInID.
- 5.4Incident Reporting: Clients must promptly report any suspected or actual security breaches, fraudulent activities, or high-risk incidents within their Platforms. Such incidents should be reported through the CiiS for real-time alerting and response.
- 5.5Risk Assessment: Clients are responsible for assessing the risk levels of Users flagged by ZinID before taking further actions. Clients may choose to blacklist high-risk users or allow access at their discre/on but do so with full awareness of potential risks flagged by ZinID.
- 5.6Use of Fraud Scores:Clients agree to utilize the fraud scores generated by ZinID for assessing and managing potential threats. Clients should incorporate these assessments in their decision-making processes related to onboarding, transactions, and ongoing user management.
- 6.1Service Quality and Performance:Suppliers must maintain the quality, reliability, and performance of their products and services to ensure seamless integration with ZinID. Any issues that may disrupt opera/ons or compromise security must be addressed immediately.
- 6.2Data Handling and Confidentiality:Suppliers must handle all data exchanged with ZinID and associated entities with strict confidentiality. This includes adhering to data protection standards and avoiding any unauthorized sharing or usage of such data.
- 6.3Security and Compliance: Suppliers must implement adequate cybersecurity measures and ensure that their systems meet the regulatory and operational requirements necessary to support ZinID's infrastructure.
- 6.4Incident Response Collaboration: In the event of a security breach or incident affecting the performance or integrity of ZinID, Suppliers must collaborate with the Company to contain, mitigate, and resolve such incidents without delay.
- 6.5Ongoing Support and Updates: Suppliers must provide regular maintenance, updates, and technical support to ensure that the integra/on with ZinID remains effective, secure, and up-to-date with evolving industry standards.
7.1.1
Obligation of Confidentiality: The Employee agrees to hold all Confiden/al Informa/on including but not limited to client iden//es, and data, and in strict confidence and not to disclose, use, copy, or allow access to such informa/on, except as required in the performance of the Employee's duties for the Company. Confidential Informa/on included but is not limited to the Company’s proprietary algorithms, methodologies, business strategies, financial data, employee informa/on, intellectual property, trade secret and any other information designated as confidential by the Company, whether marked as such or reasonably understood to be confidential.7.1.2
Protection of Confidential Information: The Employee shall exercise all reasonable precautions to protect the integrity and confidentiality of the information, including but not limited to: not discussing Confidential Information in public places or with unauthorized persons, securing physical and digital documents containing Confidential Information, using secure methods when transmiong or storing Confidential Information and immediately reporting poten/al breaches or unauthorized disclosure.7.1.3
Social Media and Public Communications: Employees must adhere to the Zinary's policy on social media use and public communications regarding AI technology and Company matters. All public presenta/ons or publica/ons must be pre-approved.7.1.4
Remote Work Policy: The Employee shall, when working remotely, maintain a secure work environment, use approved secure connec/ons, and follow all company protocols for remote data access and handling.7.1.5
Duration of Obligation: The Employee's obligation to maintain confidentiality shall continue throughout the term of employment and shall survive the termination of employment, regardless of the reason for such termination.7.1.6
Intellectual Property: Any inventions, improvements, or discoveries made by the Employee during the course of employment that relate to the Company's business and in relation to ZinID shall be the exclusive property of the Company.7.1.7
Legal Compliance: The Employee agrees to comply with all applicable laws and regulations including but not limited to data protection and privacy in relation to the handling of Confidential Information.7.1.8
Consequences of Breach: The Employee understands that any breach of this confidentiality clause may result in disciplinary action, including termination of employment, and in special circumstances, a legal action by the Company against the Employee.
7.2.1
Adherence to Protocols: The Employee shall strictly adhere to all company data security protocols, policies, and procedures as outlined by the Company, which may be subject to change over time.7.2.2
Handling of Sensitive Information: The Employee shall exercise utmost care in handling all sensi/ve informa/on, including but not limited to personal iden/fiable informa/on (PII), financial data, and proprietary AI algorithms. This includes but is not limited to: accessing such informa/on only when necessary for job du/es, using only Company- approved secure systems and devices for data access and processing, refraining from storing sensi/ve data on personal devices or unauthorized cloud services.7.2.3
Data Transmission: When transmiong sensitive data, the Employee shall use only encrypted channels and methods approved by the Company and in line with the company’s policies and international best prac/ces of data transmission.7.2.4
Physical Security: The Employee shall maintain physical security by taking measures to ensure that unauthorized public is not privy to the Company’s data, such measures include but are not limited to: (i) keeping all physical documents containing sensi/ve informa/on in locked cabinets when not in use; (ii) using privacy screens on computer monitors when working in public spaces; and (iii) never leaving devices unattended in unsecured loca/ons.7.2.5
Access Controls: The Employee shall use access controls as provided for or permitted by the Company subject to the Company’s security framework.7.2.6
Reporting Security Incidents: The Employee shall immediately report any actual or suspected data breaches, security incidents, or unauthorized access to the Company's IT security team and their immediate supervisor.7.2.7
Prohibition of Unauthorized Data Removal: The Employee shall not remove, copy, or transfer any sensi/ve data outside of authorized company systems without explicit written permission from the company.7.2.8
Compliance with Data ProtecMon Laws: The Employee shall comply with applicable data protec/on laws and regula/ons, including but not limited to the Nigeria Data Protec/on Act, Nigeria Data Protec/on Regula/on and any other relevant local or interna/onal data protec/on legisla/on.7.2.9
Audits and Monitoring: The Employee acknowledges that the Company may conduct regular audits and monitoring of data access and handling prac/ces to ensure compliance with these Terms.7.2.10
Reporting Unauthorized Disclosure: The Employee shall immediately report to the Company any unauthorized disclosure, whether inten/onal or accidental, of Confiden/al Informa/on.7.2.11
Return of Materials: Upon termina/on of employment or at the Company's request, the Employee shall promptly return all materials containing Confiden/al Informa/on and shall not retain any copies, summaries, or extracts thereof.7.2.12
Consequences of Non-Compliance: The Employee understands that any viola/on of these data handling and security protocols may result in disciplinary action, up to and including termination of employment, and may also lead to legal ac/on where applicable.7.2.13
Ongoing Obligation: The Employee's obligation to protect sensitive data and maintain security practices extends beyond normal working hours and continues even after the termina/on of employment.
- 8.1Subject to Your compliance with these Terms, the Company hereby grants You a limited, non-exclusive, nontransferable right to access ZinID solely for Your commercial use and as permitted under these Terms.
- 8.2You agree that You will not, and will not attempt to: (i) use ZinID Services to violate any local, state, national, or interna/onal law; (ii) impersonate any person or en/ty, or misrepresent Your affilia/on with any persons in your use of ZinID; (iii) You will not duplicate, transfer, give access to, copy or distribute any part of ZinID Services in any medium without the Company's prior written authoriza/on; (iv) reverse engineer, disassemble, decompile, or translate any part of ZinID Services; (v) knowingly introduce viruses, trojans, worms, logic bombs or other material which is malicious or technologically harmful to ZinID; (vi) by Yourself and/or in concert with others attempt to gain unauthorized access to ZinID Services, and the server on which the ZinID is stored or any server, computer or database connected; (vii) by Yourself and/or in concert with others attack ZinID via a denial-of-service attack or a distributed denial-of service attack; and (viii) otherwise use ZinID Services in any manner that exceeds the scope of use granted in these Terms and the incorporated Privacy Policy.
- 6.3Security and Compliance: Suppliers must implement adequate cybersecurity measures and ensure that their systems meet the regulatory and operational requirements necessary to support ZinID's infrastructure.
- 6.4Incident Response Collaboration: In the event of a security breach or incident affecting the performance or integrity of ZinID, Suppliers must collaborate with the Company to contain, mitigate, and resolve such incidents without delay.
- 6.5Ongoing Support and Updates: Suppliers must provide regular maintenance, updates, and technical support to ensure that the integra/on with ZinID remains effective, secure, and up-to-date with evolving industry standards.
- 9.1You agree that Your access to and use of the ZinID Services may be subject to fees. We will provide you with details of applicable fees, charges, and payment terms prior to or at the time of purchase. All fees are non-refundable unless otherwise stated.
- 9.2By using the ZinID, You agree to pay all applicable fees and charges in accordance with the payment terms provided. Payments must be made using the payment method specified at the time of purchase. We reserve the right to adjust fees and payment terms without prior notice to You.
- 9.3You are responsible for ensuring that Your billing informa/on is accurate and up-to- date. Any changes to Your payment method or billing information must be updated promptly in Your Account seongs or as otherwise instructed by Us.
- 9.4If applicable, subscriptions or access to ZinID Services may be set to automatically renew at the end of each subscription period. You agree to permit ZinID directly or through its providers to automatically renew Your subscription to ZinID by charging a valid credit card number which You have provided ZinID. By providing a payment information, You are authorizing to charge Your card informa/on, through the authorized provider for the subscription fees associated with ZinID. Your subscription to ZinID will be billed automa/cally unless You cancel Your subscrip/on or access prior to the renewal date. The terms of the automa/c renewal, including any no/ce period and cancellation procedure, will be detailed at the time of purchase.
- 9.5All fees are exclusive of taxes, which may be imposed or applicable based on Your location. You agree to pay any applicable taxes or governmental charges in addition to the fees for the ZinID product.
- 9.6Refunds, if any, will be processed according to the Company’s refund policy, which will be provided at the time of purchase. Generally, fees are non-refundable, except as required by law or as specifically stated in the refund policy. The Company will pay You upfront for the services to be administered to Your registered Users.
- 10.1To protect the ZinID Services, the Company may impose restrictions on access to certain parts or the entirety of the service for security purposes. If You are assigned a ZinCode or choose a user iden/fica/on code, password, or any other access creden/als as part of our security measures, You must keep this information confidential. It is Your responsibility to ensure that Your credentials are not disclosed to any third party.
- 10.2The Company reserves the right to disable or revoke any access credentials at any time if the Company believes there has been a violation of these Terms, a security concern, or if the credentials are compromised. If You suspect that Your credentials have been compromised, You must promptly notify the Company.
- 10.3The Company will not be liable for any unauthorized use of Your Account or for any loss or damage resulting from Your failure to protect Your credentials.
- 10.4You may not tamper with or circumvent any security technology included with the ZinID.
- 10.5ZinID does not represent or guarantee that the PlaJorms will be free from loss, corruption, attack, viruses, interference, hacking or other security intrusion, and You hereby release ZinID from any liability rela/ng thereto.
- 11.1All content and materials available through ZinID, including but not limited to text, scripts, graphics, interac/ve features, algorithms, so`ware, code, trademarks, service marks, and logos contained therein, are owned by or licensed to the Company or its licensors and are protected by the copyright, patent, trademarks and other intellectual property rights under the Nigerian and interna/onal laws.
- 11.2The Company grants You a limited, non-exclusive, non-transferable, non-sublicensable, revocable right to access and use ZinID for Your personal and commercial use as permitted by these Terms. This right does not include any rights to:
- 11.2.1Modify, remove, deface, obscure, reverse-engineer, decompile, or create any deriva/ve works from ZinID Services or its underlying technology;
- 11.2.2Use any data mining, robots, or similar data gathering or extrac/on methods; and
- 11.2.3Use the ZinID Services for purposes other than for its intended purposes.
- 11.3ZinID is provided to You “AS IS” for Your informa/on and commercial use only. All rights not expressly granted to You in these Terms are reserved by the Company.
- 12.1The Company does not guarantee, represent, or warrant that Your use of ZinID will be free from loss, corrup/on, attack, viruses, interference, hacking, security intrusion, uninterrupted or error-free. You acknowledge that ZinID may modify, suspend, or discon/nue any aspect of the services at its discre/on and without prior no/ce to You.
- 12.2Your use of ZinID Services is at your own risk. Any services performed or provided by ZinID are provided "as is" and “as available,” with all faults and without warranty of any kind. To the fullest extent permitted by law, the Company along with its parent company, subsidiaries, affiliates, officers, directors, employees, and agents, disclaims all warran/es, whether express or implied, related to the Services, including but not limited to implied warran/es and/or condi/ons of merchantability of sa/sfactory quality, of fitness for a par/cular purpose, of accuracy, of quiet enjoyment, and of noninfringement of third-party rights..
- 12.3The Company, to the extent permitted by any Applicable Law makes no warran/es of any kind, express or implied, including without limita/on any warranty or representa/ons about the accuracy or completeness, or reliability of any data or content provided through ZinID.
- 12.4To the extent permitted by any Applicable Law, the Company makes no warranties that (i) ZinID will meet Your requirements; (ii) ZinID will be uninterrupted, timely, secure or error-free; (iii) the results obtained from the Services provided on ZinID will be accurate or reliable; (iv) the quality of the Servies will meet Your expecta/ons; or (v) or any errors on ZinID will be corrected.
- 13.1The Company has no control over, does not warrant, endorse, guarantee, or assume responsibility for any products or services offered by third parties, including but not limited to Clients and external service providers.
- 13.2ZinID will not and cannot monitor, verify, censor or edit the content of any third-party site, products or services that You interact with on ZinID. We encourage You to be aware and read the terms and condi/ons and privacy policy of each third-party site, products or services. of third-party rights..
- 13.3ZinID is not responsible for any transac/ons or interac/ons between You and third-party providers. You should exercise cau/on and conduct Your due diligence when engaging with third-party site, products or services.
- 13.4The inclusion of third-party links or references on ZinID is for convenience only and does not imply endorsement or responsibility by ZinID.
- 13.5By using ZinID, You release and hold the Company harmless from any and all liability arising from Your use of any third-party website or service. If there is a dispute between Users of ZinID, or between Users and any third party, you agree that the Company is under no obliga/on to become involved.
- 14.1To the fullest extent permitted by any Applicable Law, the Company, its parent company, subsidiaries, affiliates, officers, directors, employees, or agents, be liable to you for any direct, indirect, incidental, special, puni/ve, or consequen/al damages whatsoever resul/ng from any (i) errors, mistakes, or inaccuracies of the content of the ZinID services; (ii) personal injury or property damage, of any nature whatsoever, resul/ng from Users access to and use of ZinID Services; (iii) any unauthorized access to or use of Our secure servers and/or any and all personal informa/on and/or financial informa/on stored therein; (iv) any interrup/on or cessa/on of transmission to or from Our servers; (v) any bugs, viruses, or other harmful components transmitted to or through ZinID by any third par/es; (vi) any loss or damage of any kind incurred as a result of Your use of any content posted, emailed, transmitted, or otherwise made available via ZinID (this applies whether the claim is based on warranty, contract, tort, or any other legal theory, and whether or not You or the Company, were advised of the possibility of such damages); and/or (vii) the disclosure of informa/on pursuant to these Terms.
- 14.2The Company shall use reasonable efforts to protect information submitted by You in connec/on with the Services, but You agree that your submission of such informa/on is at Your sole risk, and the Company disclaims any and all liability to You for any loss or liability rela/ng to such informa/on in any way.
- 14.3ZinID is controlled and offered by the Company from its facili/es in the Federal Republic of Nigeria. The Company makes no representa/ons that the services is appropriate or available for use in other loca/ons. Accessing or using the ZinID Services from other jurisdic/ons is done at Your own risk and it is Your responsibility to comply with local laws.
- 14.4ZinID is not fault-tolerant and is not designed or intended for use in any hazardous environment requiring fail-safe performance or opera/on. ZinID is not for use in the opera/on of aircra` naviga/on, nuclear facili/es, or communica/on systems, weapon systems, direct or indirect life-support systems, air traffic control, or any applica/on or installa/on where failure could result in death, severe physical injury or property/ environmental damages.
- 14.5Subject to any Applicable Law, any cause of ac/on arising out of or related to the ZinID Services, or these terms must commence within one (1) year after the cause of action accrues. Otherwise, such cause of ac/on is permanently barred.
- 15.1You agree to defend, indemnify and hold harmless the Company, its parent company, subsidiaries, affiliates, officers, directors, employees, and agents, (collectively,“Indemnified Parties” ) from and against any and all claims, damages, obliga/ons, losses, liabili/es, costs or debt, and expenses (including but not limited to attorney's fees) arising from (i) Your use of and access to the ZinID services; (ii) any viola/on of any term or any Applicable Law by You; (iii) any content You submit, or transmit via the ZinID; (iv) Your interac/on with other Users or third par/es through the ZinID; (v) Your ac/ons or omissions related to the Your use of the Services; (vi) Your failure to comply with the disclosure requirements under these Terms or any Applicable Laws; and (vii) data protec/on compliance requirement in respect of Your use of ZinID services.
- 15.2The Company reserves the right to assume exclusive defense and control of any matter subject to your indemnifica/on. This means that You cannot sue or recover any damages from the Company, its parent corpora/on, subsidiaries, affiliates directors, officers, employees, affiliates, agents, contractors, and licensors as a result of its decision to remove or refuse to process any informa/on or content, to warn You, to suspend or terminate Your access to the ZinID services, or to take any other ac/on during the investigation of a suspected viola/on or as a result of the Company's conclusion that a violation of these Terms has occurred. This waiver and indemnity provision applies to all violations described in or contemplated by these Terms. This defense and indemnification obligation will survive these Terms and Your use of the Services.

We will determine, in our reasonable discre/on, whether there has been a breach of these Terms through Your use of ZinID. When a breach of these Terms has occurred, We may take such ac/on as We deem appropriate.17.2
Failure to comply with these Terms cons/tutes a material breach of the Terms upon which You are permitted to use the Services, and may result in our taking any or all ac/on We deem appropriate, including, but not limited to:
- 17.2.1. immediate, temporary, or permanent withdrawal of Your right to access and use of the Services
- 17.2.2. immediate, temporary, or permanent removal of any pos/ng or materia uploaded by you to ZinID;
- 17.2.3. issuance of a warning to You;
- 17.2.4. legal proceedings taken against You for the reimbursement of any reasonable costs that We incur (including, but not limited to, reasonable administrative and legal costs) as a direct result of Your failure to abide by the Terms;
- 17.2.5. pursuit of further legal action against You; and
- 17.2.6. disclosure of such informa/on to law enforcement authori/es as We reasonably feel is necessary.
- 18.1You agree that: (i) the ZinID services shall be deemed solely based in the Federal Republic of Nigeria; (ii) the ZinID services shall be deemed a passive server that does not give rise to personal jurisdic/on over the Company, either specific or general, in jurisdic/ons other than the Federal Republic of Nigeria; and (iii) that You consent to the exclusive jurisdic/on of the courts of the Federal Republic of Nigeria in the event of any legal dispute arising or related to the Services.
- 18.2These Terms shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria. Any claim or dispute between You and the Company arising from or relating to the ZinID services shall be decided exclusively by a Nigerian court of competent jurisdiction.
- 19.1These Terms, together with the Privacy Policy and any other legal no/ces published by the Company are a binding contract between You and the Company and shall cons/tute the entire agreement between You and the Company concerning the ZinID Services. Your use of ZinID in any way means that You agree to all of these Terms and these Terms will remain in effect while You use ZinID.
- 19.2If any provision of these Terms is deemed invalid by a Court of competent jurisdic/on, the invalidity of such provision shall not affect the validity of the remaining provisions of these Terms, which shall remain in full force and effect.
- 19.3No waiver of these Terms shall be deemed a further or con/nuing waiver of such term or any other term, and the Company’s failure to assert any right or provision under these Terms shall not cons/tute a waiver of such right or provision.
- 19.4Your use of ZinID may also be subject to additional policies, rules, and/or conditions(“Additional Terms”) which are incorporated herein by reference, and You understand and agree that by using ZinID, You agree to also comply with these Addi/onal Terms.
- 19.5The Company reserves the right to amend or modify these Terms at any time, and it is Your responsibility to review these Terms for any changes. If you do not agree to the Terms, Your only recourse is to discontinue the use of ZinID.
